الجزء الأول: النسخة العربية الرسمية (الأساس والمرجع)

التمهيد: اتفاقية قانونية ملزمة وشاملة

تُعد هذه الوثيقة اتفاقية قانونية ملزمة وشاملة (“الاتفاقية”) بين كل من:

الطرف الأول: شركة الأمة المساعدة لتقنية المعلومات، وهي شركة سعودية مسجلة نظاماً (يشار إليها لاحقاً بـ “الشركة”، “الأمة المساعدة”، “المنصة”، “Helpnation.sa”، “نحن”).

الطرف الثاني: المستخدم (“أنت”) وهو أي شخص طبيعي أو اعتباري يزور، أو يسجل، أو يستخدم، أو يتفاعل مع منصة Helpnation.sa أو أي من المنصات المصغرة والخدمات والتطبيقات التابعة لها.

تحذير قانوني نافٍ للجهالة وإقرار ملزم

إن وصولك إلى هذه المنصة أو استخدامك لأي من خدماتها يُعد قبولاً نهائياً، غير مشروط، ونافياً للجهالة بكافة بنود هذه الاتفاقية المطولة والمفصلة. أنت تقر بأنك قرأت هذه الاتفاقية كاملة كلمة بكلمة، وفهمت أبعادها القانونية والمالية، وتوافق على جداول “التعويضات والغرامات المغلظة”. جميع الموافقات والإقرارات هنا دائمة وقائمة ولا يجوز الرجوع عنها بأي حال من الأحوال. إذا كنت لا توافق على أي شرط من هذه الشروط، يجب عليك التوقف فوراً عن استخدام المنصة ومغادرتها.

إخلاء مسؤولية جوهري: طبيعة المنصة

يقر المستخدم إقراراً نهائياً لا رجعة فيه بأن منصة “الأمة المساعدة” (Helpnation.sa) هي منصة تقنية تجارية بحتة. المنصة لا تجمع، ولا تعالج، ولا تسهل، ولا تروج لأي شكل من أشكال التبرعات، أو الصدقات، أو الأوقاف الإلكترونية، أو أي أعمال خيرية تتطلب ترخيصاً نظامياً. إن مفهوم “المساعدة” في اسمنا التجاري ينبع من رؤيتنا لتمكين الأفراد والمشاريع عبر التكنولوجيا والأدوات الرقمية، وهو مفهوم تجاري قائم على الخبرة ولا يمت بصلة للعمل الخيري أو الأهلي. أي محاولة لاستخدام المنصة لجمع التبرعات أو ما شابهها تعتبر خرقاً جوهرياً لهذه الاتفاقية وتستوجب الحظر الفوري والملاحقة القانونية.

البند الأول: طبيعة التعاقد والملكية الفكرية

1.1. طبيعة الخدمات: يقر المستخدم بأن الخدمات والمنصات المصغرة المقدمة هي خدمات “كمالية/تطويرية” وتنافسية، وتوجد لها بدائل عديدة في السوق. المستخدم يوافق بكامل إرادته الحرة على جميع الشروط دون إكراه أو تغرير.

1.2. التنازل عن الدفع بالإذعان: يسقط المستخدم حقه نهائياً في التمسك بالمادة (96) من نظام المعاملات المدنية السعودي، ولا يحق له لاحقاً وصف الشروط بالتعسفية.

1.3. الملكية الفكرية الشاملة: جميع المحتويات، الأكواد البرمجية، التصاميم، الشعارات، العلامات التجارية (“الأمة المساعدة”، “Helpnation”)، منهجيات العمل، والبيانات الأصلية هي ملكية حصرية للشركة ومحمية بموجب أنظمة الملكية الفكرية السعودية والاتفاقيات الدولية.

البند الثاني: الأهلية القانونية والتمثيل النظامي

2.1. سن الرشد: يتعهد المستخدم بأنه قد بلغ سن الرشد القانوني (18 عاماً هجرياً) ومتمتع بالأهلية الكاملة للتعاقد.

2.2. مسؤولية القاصر: إذا كان المستخدم دون السن القانونية، فإن استخدامه للمنصة يعتبر قرينة قاطعة على حصوله على إذن وليه. ويتحمل الولي الشرعي المسؤولية التضامنية الكاملة عن كافة تصرفات القاصر والتعويضات المترتبة عليها.

البند الثالث: حجية الأدلة الرقمية والإثبات الإلكتروني

استناداً لنظام الإثبات السعودي، يتفق الطرفان صراحةً على أن سجلات الدخول (Login Logs)، عناوين البروتوكول (IP Addresses)، سجلات المحادثات، وبيانات النشاط داخل المنصة تعتبر “أدلة رقمية” قطعية الدلالة وحجة نهائية في الإثبات أمام الجهات القضائية.

البند الرابع: المحتوى المنشأ من قبل المستخدم (UGC)

4.1. المسؤولية الكاملة: أنت المسؤول الوحيد عن أي محتوى (نصوص، صور، فيديوهات، بيانات، آراء) تقوم بنشره أو رفعه على المنصة أو منصاتها المصغرة. أنت تضمن أن محتواك لا ينتهك أي قوانين سعودية أو حقوق طرف ثالث.

4.2. المحتوى المحظور: يُحظر تماماً نشر أي محتوى:

•يخالف الشريعة الإسلامية أو أنظمة المملكة العربية السعودية.

•يروج للتطرف، الإرهاب، الطائفية، أو الكراهية.

•يتضمن مواد إباحية، أو مسيئة للآداب العامة.

•ينتهك حقوق الملكية الفكرية أو العلامات التجارية للآخرين.

•يحتوي على معلومات شخصية حساسة (أرقام هواتف، عناوين) دون موافقة صريحة.

•يهدف لجمع التبرعات أو الصدقات أو أي عمل خيري غير مرخص.

•يتضمن فيروسات، برمجيات خبيثة، أو أي كود ضار.

4.3. ترخيص الاستخدام: بمنشرك للمحتوى، أنت تمنح “الأمة المساعدة” ترخيصاً عالمياً، غير حصري، دائماً، قابلاً للتحويل، وخالياً من حقوق الملكية (Royalty-Free) لاستخدام، نسخ، تعديل، توزيع، نشر، وعرض محتواك ضمن نطاق خدمات المنصة الحالية والمستقبلية.

4.4. حق الإشراف والإزالة: نحتفظ بالحق المطلق (دون التزام) في مراجعة، أو فلترة، أو تعديل، أو إزالة أي محتوى منشأ من قبل المستخدم نرى أنه ينتهك هذه الشروط، دون إشعار مسبق.

البند الخامس: قواعد السلوك الصارمة داخل المنصة

5.1. التخفي الرقمي والاحتيال: استخدام برامج (VPN, Proxy, Tor) لإخفاء الهوية عند إجراء معاملات مالية أو تفاعلات حساسة يُعد قرينة على نية الاحتيال ويستوجب الحظر الفوري.

5.2. استخلاص البيانات والزحف (Scraping & Crawling): يُحظر استخدام أي “روبوتات” (Bots) أو برمجيات زحف لنسخ المحتوى أو جمع بيانات المستخدمين. يعتبر هذا الفعل “دخولاً غير مشروع” لتهديد الأمن السيبراني للمنصة.

5.3. الهندسة العكسية: يُحظر أي محاولة لتفكيك أو فك تشفير أو فهم الكود المصدري للمنصة أو أي من تطبيقاتها.

5.4. المزادات والمبوبات: أي محاولة للتلاعب بالمزادات، أو نشر إعلانات وهمية، أو الاحتيال على المستخدمين الآخرين ستؤدي إلى الحظر الدائم والملاحقة القانونية.

البند السادس: إخلاء المسؤولية وحدودها

6.1. المنصة “كما هي”: تُقدم المنصة وخدماتها “كما هي” و”حسب توفرها” دون أي ضمانات صريحة أو ضمنية. نحن لا نضمن أن الخدمة ستكون آمنة، أو خالية من الأخطاء، أو متاحة دون انقطاع.

6.2. نزاعات المستخدمين: الأمة المساعدة هي منصة تقنية وليست طرفاً في أي اتفاق أو معاملة بين المستخدمين. أنت توافق على أن أي نزاع ينشأ بينك وبين مستخدم آخر هو مسؤوليتك ومسؤوليته حصراً، وتخلي طرفنا من أي مطالبة أو ضرر.

6.3. عدم المصادقة: نحن لا نصادق على هوية المستخدمين أو جودة المنتجات أو صحة الإعلانات في المبوبات أو المزادات. تقع مسؤولية التحقق على عاتقك بالكامل.

البند السابع: الذكاء الاصطناعي (AI) والملكية الفكرية

يُحظر منعاً باتاً وحاسماً استخدام اسم “الأمة المساعدة” أو “Helpnation” أو شعاراتها أو أي من محتوياتها الأصلية في تدريب، أو تغذية، أو تطوير أي خوارزميات ذكاء اصطناعي (Generative AI)، أو نماذج لغوية كبيرة (LLMs) دون إذن كتابي مسبق وموثق.

البند الثامن: جدول الغرامات والتعويضات الشامل

المبالغ أدناه بالريال السعودي وغير شاملة ضريبة القيمة المضافة. هذه المبالغ “مستحقة الأداء فوراً” بمجرد وقوع المخالفة وتعتبر تعويضاً اتفاقياً نهائياً (Liquidated Damages).

انتهاك حقوق الملكية الفكرية لطرف ثالث على المنصة	500,000 ريال سعودي
مخالفة عامة لأي من بنود الاتفاقية	15,000,000 ريال سعودي

البند التاسع: القانون الحاكم وحل النزاعات

تخضع هذه الاتفاقية وتُفسر وفقاً لأنظمة المملكة العربية السعودية. أي نزاع ينشأ عن هذه الاتفاقية يخضع حصرياً للتحكيم في مدينة الرياض وفق نظام التحكيم السعودي. في حال بطلان شرط التحكيم، ينعقد الاختصاص المكاني حصرياً للمحاكم المختصة في مدينة الرياض.

البند العاشر: أحكام عامة وختامية

10.1. كامل الاتفاق: تمثل هذه الاتفاقية كامل الاتفاق بينك وبين الشركة وتحل محل أي اتفاقيات سابقة.

10.2. التعديلات: نحتفظ بالحق في تعديل هذه الشروط في أي وقت. سيتم نشر النسخة المحدثة على المنصة، ويعتبر استمرارك في الاستخدام موافقة على التعديلات.

10.3. مدة العقد: مدة العقد 99 سنة هجرية قابلة للتجديد تلقائياً ما لم يتم إنهاؤها من قبل أحد الطرفين.

10.4. النسخة المعتمدة: النسخة العربية من هذه الاتفاقية هي النسخة الأصل والأساس في التفسير، وأي ترجمة أخرى تعتبر مرجعية فقط.

الإقرار والتعهد النهائي

“أقر أنا المستخدم، بكامل قواي العقلية المعتبرة شرعاً ونظاماً، بأنني قرأت وفهمت كافة بنود هذه الاتفاقية الشاملة، وأوافق عليها جملة وتفصيلاً، بما في ذلك إخلاء المسؤولية الجوهري بخصوص التبرعات، وجداول الغرامات والتعويضات. أقر بأن استخدامي للمنصة يُعد توقيعاً إلكترونيًّا ملزماً لي ولورثتي، مسقطاً حقي في الدفع بالجهالة.”

Part Two: English Translation for Reference

Preamble: Comprehensive Binding Legal Agreement

This document is a comprehensive and binding legal agreement (“Agreement”) between:

First Party: Helpnation for Information Technology, a duly registered Saudi company (hereinafter “the Company,” “Helpnation,” “the Platform,” “Helpnation.sa,” “We”).

Second Party: The User (“You”), any natural or legal person who visits, registers, uses, or interacts with the Helpnation.sa platform or any of its sub-platforms, services, and applications.

Legal Warning and Binding Acknowledgment

Your access to this Platform or use of any of its services constitutes a final, unconditional, and ignorance-negating acceptance of all terms of this lengthy and detailed Agreement. You acknowledge that you have read this Agreement word-for-word, understood its legal and financial implications, and agree to the “Aggravated Fines and Compensation” tables. All consents herein are permanent and irrevocable. If you do not agree to any of these terms, you must immediately cease using and exit the Platform.

Fundamental Disclaimer: Nature of the Platform

The User makes a final, irrevocable acknowledgment that the “Helpnation” platform (Helpnation.sa) is a purely commercial technology platform. The Platform does not collect, process, facilitate, or promote any form of donations, charity, electronic endowments, or any philanthropic activities requiring a statutory license. The concept of “Help” in our trade name stems from our vision of empowering individuals and projects through technology and digital tools; it is a commercial concept based on experience and is not related to charitable or non-profit work. Any attempt to use the Platform to collect donations or similar activities is a material breach of this Agreement and will result in an immediate ban and legal prosecution.

Clause 1: Nature of Contract & Intellectual Property

1.1. Nature of Services: The User acknowledges that the services and sub-platforms provided are “developmental/luxury” and competitive, with numerous market alternatives. The User agrees with complete free will to all terms without coercion.

1.2. Waiver of Adhesion Claim: The User permanently waives the right to invoke Article (96) of the Saudi Civil Transactions Law and cannot later claim the terms are arbitrary.

1.3. Comprehensive Intellectual Property: All content, source code, designs, logos, trademarks (“Helpnation”, “الأمة المساعدة”), business methodologies, and original data are the exclusive property of the Company and are protected by Saudi IP laws and international treaties.

Clause 2: Legal Capacity & Representation

2.1. Age of Majority: The User warrants they have reached the legal age of majority (18 Hijri years) and possess full capacity to contract.

2.2. Minor’s Liability: If the User is a minor, their use of the Platform is conclusive evidence of their guardian’s consent. The legal guardian bears full joint liability for all the minor’s actions and resulting damages.

Clause 3: Validity of Digital Evidence

Pursuant to the Saudi Law of Evidence, both parties expressly agree that login logs, IP addresses, chat records, and on-platform activity data are conclusive digital evidence and final proof before judicial authorities.

Clause 4: User-Generated Content (UGC)

4.1. Full Responsibility: You are solely responsible for any content (text, images, videos, data, opinions) you post or upload on the Platform or its sub-platforms. You warrant that your content does not violate any Saudi laws or third-party rights.

4.2. Prohibited Content: It is strictly forbidden to post any content that:

•Violates Islamic Sharia or the laws of the Kingdom of Saudi Arabia.

•Promotes extremism, terrorism, sectarianism, or hatred.

•Contains pornographic or morally offensive material.

•Infringes on the intellectual property or trademarks of others.

•Contains sensitive personal information without explicit consent.

•Aims to collect donations, charity, or any unlicensed philanthropic activity.

•Contains viruses, malware, or any malicious code.

4.3. License to Use: By posting content, you grant Helpnation a worldwide, non-exclusive, perpetual, transferable, royalty-free license to use, copy, modify, distribute, publish, and display your content within the scope of the Platform’s current and future services.

4.4. Right of Moderation and Removal: We reserve the absolute right (but not the obligation) to review, filter, modify, or remove any UGC we deem to be in violation of these terms, without prior notice.

Clause 5: Strict On-Platform Code of Conduct

5.1. Digital Concealment & Fraud: Using VPN, Proxy, or Tor to hide identity during financial or sensitive transactions is considered evidence of fraudulent intent and warrants an immediate ban.

5.2. Data Scraping & Crawling: Using any bots or crawlers to copy content or collect user data is prohibited and considered “unauthorized access” threatening the Platform’s cybersecurity.

5.3. Reverse Engineering: Any attempt to disassemble, decrypt, or understand the source code of the Platform or its applications is prohibited.

5.4. Auctions & Classifieds: Any attempt to manipulate auctions, post fraudulent ads, or defraud other users will lead to a permanent ban and legal prosecution.

Clause 6: Disclaimers and Limitation of Liability

6.1. “As Is” Platform: The Platform and its services are provided “as is” and “as available” without any warranties, express or implied. We do not guarantee the service will be secure, error-free, or uninterrupted.

6.2. User Disputes: Helpnation is a technology platform and not a party to any agreement or transaction between users. You agree that any dispute between you and another user is solely your and their responsibility, and you release us from any claim or damage.

6.3. No Endorsement: We do not endorse user identities, product quality, or the authenticity of ads in classifieds or auctions. The responsibility for verification lies entirely with you.

Clause 7: Artificial Intelligence (AI) & Intellectual Property

It is strictly and definitively prohibited to use the name “Helpnation” or “الأمة المساعدة”, its logos, or any of its original content to train, feed, or develop any Generative AI algorithms or Large Language Models (LLMs) without prior, notarized written permission.

Clause 8: Comprehensive Fines and Compensation Table

Amounts below are in Saudi Riyals (SAR), excluding VAT. These amounts are “immediately due” upon violation and are considered final liquidated damages.

Clause 9: Governing Law & Dispute Resolution

This Agreement is governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia. Any dispute arising from this Agreement shall be subject exclusively to arbitration in Riyadh, pursuant to the Saudi Arbitration Law. Should the arbitration clause be voided, exclusive jurisdiction shall vest in the competent courts of Riyadh.

Clause 10: General and Final Provisions

10.1. Entire Agreement: This Agreement constitutes the entire agreement between you and the Company and supersedes any prior agreements.

10.2. Amendments: We reserve the right to amend these terms at any time. The updated version will be posted on the Platform, and your continued use constitutes acceptance of the amendments.

10.3. Contract Term: The term of this contract is 99 Hijri years, automatically renewable unless terminated by either party.

10.4. Authoritative Version: The Arabic version of this Agreement is the original and authoritative version for interpretation. Any translation is for reference only.

Final Declaration and Commitment

“I, the User, with full mental capacity recognized by law and Sharia, acknowledge that I have read and understood all the terms of this comprehensive Agreement, and I agree to them in their entirety, including the fundamental disclaimer regarding donations and the tables of fines and compensation. I acknowledge that my use of the Platform constitutes a binding electronic signature for me and my heirs, forfeiting my right to claim ignorance.”
